Terms of Service

Effective date: November 5, 2026

These Terms are a contract between you and C. Douglas & Associates, Inc., doing business as Inclusion Learning Lab and AI Governance for HR ("we," "us"). Section 20 requires most disputes to be resolved by individual arbitration and waives class actions. Please read it.

1. Acceptance

These Terms cover our website, learning platform, courses, memberships, certifications, coaching, webinars, downloads, and enterprise programs (the "Services"). You accept them by checking the box at checkout or account creation, or by using the Services.

2. Eligibility and accounts

You must be 18 or older and able to enter a contract. If you buy for an organization, you confirm you are authorized to bind it. Keep your account details accurate and your login private. Accounts may not be shared except under an enterprise license. Tell us promptly about any unauthorized access.

3. Educational purpose only

Our content is educational. It is not legal, HR, tax, accounting, regulatory, or other professional advice. You remain responsible for your own decisions and compliance. For advice on your situation, consult a qualified attorney or other licensed professional.

4. AI tools and governance content

AI examples, prompts, workflows, and demonstrations require qualified human review before operational use. Completing our training does not establish legal compliance or satisfy any regulatory obligation.

AI tools used in our programs are products of independent providers. We do not operate them and are not responsible for their accuracy, availability, or terms. AI output can be wrong or incomplete; you are the human in the loop and are responsible for reviewing it before you rely on it, especially in employment, legal, or compliance decisions.

5. Payments, memberships and refunds

Prices are shown at checkout and may change for future purchases. You authorize our payment processors and us to charge your payment method, including applicable taxes.

Memberships renew automatically at the end of each billing period at the then-current price until you cancel. We send a reminder at least 7 days before each renewal. You can cancel anytime from your account dashboard; cancellation takes effect at the end of the current billing period.

Refunds and cancellations are governed by our Fulfillment Policy. Paid programs are also governed by our Enterprise Terms of Use and the Addendum for that program, which apply alongside these Terms.

6. Enterprise licenses

Organizations receive only the seats and scope they purchased. Seats may be reassigned only as the license allows. Enterprise and custom engagements are governed by our Enterprise Terms of Use and the signed proposal or order form, which control over these Terms where they conflict.

7. Our intellectual property

Our books, courses, videos, frameworks, worksheets, graphics, prompts, trademarks, methodologies, certification content and learning designs belong to us or our licensors. We grant you a limited, personal, non-transferable license to use purchased content for your own learning, or your organization's internal use under an enterprise license.

8. Restricted uses

You may not redistribute, resell, record, scrape, reverse engineer, systematically download, white label, or build competing products from our content. You may not use our content to train, fine-tune or benchmark any AI model.

You may not upload our content to AI tools or use AI to create derivative works from it. Our Copyright, Trademark & AI Use Policy explains these rules in full and is part of these Terms.

9. Your content and your outputs

You keep ownership of what you submit, and you own the policies, plans and other work you create while applying what we teach. That ownership does not extend to our underlying frameworks, templates, prompts or course materials, which remain ours. You grant us a limited license to host, display and use your submissions only to operate the Services. We will not publish your submissions outside the platform without your permission.

10. Acceptable use

No unlawful conduct, infringement, malware, harassment, credential sharing, or interference with the platform. Treat fellow learners and our team with respect.

11. Certificates

Certificates confirm completion only. They are not professional licenses or guarantees of competence.

12. Testimonials and results

Testimonials reflect individual experiences. We do not guarantee earnings, employment, compliance or business outcomes. See our Advertising & Endorsement Policy.

13. Third-party services

The Services run on third-party platforms, including Thinkific and payment processors, which have their own terms. We are not responsible for third-party services.

14. Live sessions, recordings and changes to Services

We record group sessions, including cohorts, workshops, webinars and office hours, so participants can review them. By joining a group session, you consent to being recorded. You may keep your camera off and use chat instead of speaking. One-to-one coaching is recorded only with everyone's express consent at the start of the session. You may not record any session without the consent of all participants. We will not use your image, voice or name in public marketing without your separate written permission.

We may update, modify or discontinue parts of the Services. We do not guarantee uninterrupted access.

15. Termination

You may close your account anytime. We may suspend or end access if you breach these Terms. Sections 3, 4, 7, 8 and 16 to 22 survive termination.

16. Disclaimer of warranties

The Services are provided "as is" and "as available," to the fullest extent permitted by law.

17. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special or punitive damages. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.

18. Indemnification

You agree to indemnify us against claims arising from your misuse of the Services or breach of these Terms.

19. Governing law

Florida law governs these Terms, except where mandatory consumer protection laws of your home country or state apply.

20. Dispute resolution and arbitration

Talk to us first. Email [email protected]; we will try in good faith to resolve the issue within 30 days.

Arbitration. If unresolved, disputes will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Palm Beach County, Florida, or by video. Either party may instead bring an individual claim in small claims court.

Class action waiver. Claims may be brought only individually, not as a class or representative action.

Opt out. You may opt out of this Section by emailing us within 30 days of first accepting these Terms.

Where not allowed. If arbitration is prohibited by law where you live, disputes will be heard in the state or federal courts in Palm Beach County, Florida, unless your local law requires otherwise.

21. Changes to these Terms

We will post updates with a new effective date and email active account holders about material changes. Continued use after the effective date means you accept the update.

22. General

These Terms, with our Privacy Policy, Fulfillment Policy, and, for paid programs, our Enterprise Terms of Use and its Addenda, are the entire agreement between us. If any provision is unenforceable, the rest remain in effect. We may assign these Terms in a merger or sale; you may not assign them without our consent. We are not liable for delays caused by events beyond our reasonable control. Notices to us go to the email or address below; notices to you go to your account email.

Fulfillment Policy

Effective date: November 5, 2026

This policy explains how we deliver what you buy, how refunds work for each type of program, and how to reach us when something is not right. Prices are in U.S. dollars.

Our commitment

When you purchase, you get immediate access to our working platform and content, so purchases are not refundable as a matter of right. We stand behind our work, though. If something is not right, tell us and we will work with you in good faith to resolve it.

How we deliver

Courses, memberships and other digital programs are delivered electronically. You receive an order confirmation right away and access instructions within one business day. Single copies of our books are sold through Amazon. Bulk book orders placed directly with us are printed and shipped as described below.

Bulk book orders

  • One shipment, one address. Bulk orders ship in a single shipment to one U.S. address you provide at checkout, usually your office. You deliver copies to your own clients.
  • Shipping to more than one address (branches or individual clients) is available for an added handling fee, quoted and agreed in writing before we ship.
  • Delivery time. Books are printed on demand and dispatched within 3 to 4 business days of your order. Ground transit time is added after dispatch. Standard shipping to one address is included in the price.
  • Sales tax. State and local sales tax is calculated at checkout from the delivery address and added to your total.
  • Cancellations. You may cancel for a full refund until we place the print order, normally within one business day of purchase. Once printing begins, bulk orders are final.
  • Damaged or defective copies. Tell us within 14 days of delivery, with photos, and we will replace the affected copies at no cost.
  • Bonus materials. Each copy's QR code lets its reader register individually for the companion video modules. Pack bonuses (templates, toolkits, recordings, briefings) are delivered electronically or scheduled after your order is confirmed.

What each program includes

Self-paced courses and digital products. On-demand courses, toolkits, templates, assessments and downloads delivered through our learning platform. Your license is for you as the named purchaser, for the access period stated at checkout. If no period is stated, access continues while the course remains offered.

Memberships. Recurring access to member content, resources and community, as described on the membership page. Memberships renew automatically at the end of each billing period at the then-current price until you cancel.

Live programs (cohorts, workshops, webinars). Live virtual sessions on the published schedule, with recordings, materials and any community access described on the program page. Group sessions are recorded, and recordings stay available for the period stated on the program page. We teach, demonstrate and guide; you do the work in your own environment and make your own decisions. Participants engage respectfully, and we may remove anyone who is abusive or disruptive.

One-to-one coaching. Individual coaching in the package and number of sessions you purchase. Coaching is a partnership for your professional development. It is not therapy, counseling, legal or medical advice. Sessions may be rescheduled with at least 24 hours' notice; sessions missed without notice count as used; package sessions must be used within 6 months of purchase. Coaching conversations are confidential, except where disclosure is required by law or needed to prevent imminent harm. When your organization sponsors coaching, we share only attendance and agreed progress themes, not session content, unless you agree.

Enterprise and custom engagements. Scope, deliverables, licenses and payment terms are set in your signed proposal or order form and our Enterprise Terms of Use.

The full terms for each program are in the Addenda to our Enterprise Terms of Use.

Refunds and cancellation by program

Enterprise and custom engagements Set in your signed proposal or order form Set in your signed proposal or order form

Access is personal to the named purchaser and may not be shared, resold or transferred without our written consent, except under an enterprise license.

Customers in the EU and UK

EU and UK consumers normally have a 14-day right to withdraw from online purchases. For digital content and services, that right ends once access begins if you agreed at checkout to immediate access and acknowledged you would lose the withdrawal right. If you did not give that consent, you may withdraw within 14 days of purchase for a full refund.

How to request a refund or raise an issue

  1. Email [email protected] with the subject line "Refund Request" or "Order Issue."
  2. Include your name, order details, the program, and what is not working.

We respond within 2 business days. Approved refunds go back to the original payment method, usually within 7 to 10 business days.

Chargebacks

Please contact us before disputing a charge with your card issuer so we can resolve it directly. Access may be paused while a chargeback is open.

Your legal rights

Nothing in this policy limits rights you have under consumer protection law.

Changes

We may update this policy by posting a new version with a new effective date. The version in effect when you purchased applies to that purchase.

Name and likeness. Margaret Spence's name, image, voice and likeness may not be used without written permission.

Buying or accessing our content gives you a personal license to learn from it. It does not transfer ownership or give you the right to reproduce it.

What you may not do with AI

Unless we give you written permission, you may not:

  1. Feed our content into AI. Upload, paste, attach or connect our content to any AI tool, chatbot, model, custom GPT, AI project or workspace, notebook tool, knowledge base or AI note-taker. This includes course materials, transcripts, worksheets, templates, assessments and book text.
  2. Create AI derivatives. Use AI to summarize, translate, rewrite, paraphrase, expand or repackage our content into anything new, including courses, workbooks, ebooks, articles, training materials, slide decks, prompts or chatbots.
  3. Train or ground AI. Use our content to train, fine-tune, ground, embed, index or benchmark any AI model or system.
  4. Build AI products. Create AI assistants, agents or tools that reproduce our content, frameworks or methodology.
  5. Impersonate us. Use AI to imitate Margaret Spence's voice, image or writing style, or to produce content presented as coming from us.
  6. Record with AI. Run AI note-takers or transcription tools in our sessions without the consent of all participants.
  7. Remove our notices. Strip copyright or trademark notices, or present AI output derived from our content as your own.

These restrictions apply whether the AI tool is public, private, free, paid, or hosted inside your organization.

What you may do

  • Use AI tools on your own work: your own notes written in your own words, and your organization's own documents.
  • Apply the concepts you learn to your own policies, decisions and projects.
  • Where a program specifically instructs you to use one of our templates with an AI tool, do so for that exercise, in your own account, for your own or your organization's internal use only.
  • Quote brief passages with clear attribution for commentary, review or discussion.

When in doubt, ask us first.

Trademark use

You may not use our names, logos or framework names to name your products or services, imply our endorsement or partnership, or label AI-generated content as ours. Accurately referring to us by name, for example in a review, is fine.

Your access is personal

Your login and access are for you alone, or for the named users in your organization's license. You may not:

  • Share your password or login with anyone
  • Let others watch, attend or use courses, sessions or materials through your account
  • Forward or post downloads, recordings or session links to people who have not purchased
  • Buy one seat and use it for a team
  • Resell, transfer or lend your access

Need access for colleagues? Ask us about team and enterprise licenses. We may review login activity to detect shared accounts.

Your acknowledgment

Before you begin any program or book-based learning, you confirm:

"I understand that the content I am accessing is protected by copyright and trademark law. My access is for my use only, and I will not share my login or materials with anyone who has not purchased. I will not upload this content to AI tools, use AI to create derivative works from it, or reproduce it without written permission, as described in the Copyright, Trademark & AI Use Policy."

If this policy is violated

We take violations seriously. We may:

  • Suspend or end access without refund, and revoke any certification
  • Require deletion of our content and any AI-generated derivatives, with written confirmation
  • Send takedown notices to platforms, hosts and AI providers
  • Pursue remedies available under copyright and trademark law and our agreements

Organizations are responsible for compliance by their employees and licensed users.

Want to use our content with AI?

We license content for specific uses, including approved AI applications and distribution through partners, under a signed license agreement. Contact us to discuss it.
